d. Material submitted by EU Actors

EurActiv.com will undertake its best efforts to monitor the source of the material sent by the organisations or individuals that wish to be mentioned on EurActiv.com or that wish to subscribe to its services. However, it will not accept any liability for the source, the content and the accuracy of such material.

e. Cooperation and trust

Meetings between EurActiv team members and other organizations are assumed 'off the record' unless otherwise stated (e.g. in the case of interviews). No client information that is not public is disclosed to other parties, be it orally or in writing.

The partner or client commits, until one year after the end of any agreement, not to "poach" (i.e. recruit passively or actively) any individual member of the EurActiv team, be it full time or part time, as employee or service provider, without prior written agreement of EurActiv.com.

EurActiv.com welcomes enquiries and proposals made by intermediates such as agencies or consultancies on behalf of other client companies that are new prospects, not yet in contact with EurActiv. In such cases, it respects the value of the contacts and ideas provided, and aims to respect the role of the intermediate, including - if requested ? their wish to be informed of contacts with that client.

EurActiv works on the basis of editorial independence and does not limit its coverage to its partners. Principles are explained on the Editorial Mission page.

f. English Law and arbitration

If any provision of this agreement is held by a court of jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

In case of difficulty to implement or interpret this Contract, it will be submitted to arbitration by one arbiter designated by common agreement of the parties, within one month of one party requesting it. In case the parties cannot agree on a joint arbiter, within one additional month, each one will designate one arbiter, and both arbiters will designate a third one. The parties will be bound by the findings of the arbiter(s). The language of proceedings will be English and the legal principles will be those of English law and case law.

This agreement is under English law.

g. Payment terms

The payment should be made in one instalment (unless otherwise agreed in writing) within 30 calendar days of the invoice date to EurActiv.com PLC's UK bank account. The price is exempt from VAT unless the organization has a UK VAT number. If a client does not pay on time after a reminder, EurActiv reserves the right to:

- charge interest of 5% per month from the initial due date

- remove any ads or references to the client from its website(s)

- take any legal steps

h. Updates to this agreement

EurActiv.com reserves the right to amend or modify its terms and conditions or impose new conditions at its best convenience. You will be deemed to have accepted all the new changes 24 hours after they become effective on the website.

B) Terms and conditions for advertisers

a. Booking process

Step 1:  Pre-booking in our media plan

The client will receive a media plan's proposal* (see example links) with the period and the number of advertising buttons and banners on the relevant website(s) and text ads in the relevant newsletter(s), based on the client's budget.

An order form will be attached as well.

The client will have maximum two weeks to confirm the media plan proposal.

Step 2:  Booking confirmation

The order confirmation will be followed by the creation and/or the implementation of buttons, banners and ads in newsletters in the EurActiv advertising server system.

b. Creative process

Option 1:  EurActiv designs the creative work for the client's banner and button:

- EurActiv will request from the client any visual and text it might have in a electronic format such as a PDF file, web pages, logo from the website etc.

- Once the banner is made, EurActiv will send to the client the creative mock-up for approval before publishing it.

- Any advertising created by EurActiv will remain its own property and may not be re-used without explicit and written permission from EurActiv.

Option 2:  Advertisers provide EurActiv with their own buttons and banners:

- Advertisers should observe the requested specifications (link specifications).

- Delivery of the electronic material should be sent 5 business days before the start of the campaign.

In both cases the advertisers accept full responsibility for the messages and content. EurActiv reserves the right not to publish an ad, without any indemnity, even if its contact person initially acknowledged the ad, if it considers it aggressive, inappropriate, too 'flashy' or for any other reason. EurActiv does not accept advertisements that expand outside of the designated ad space. A refund for the price of the advertising space may be offered by EurActiv, at its choice, if it was possible to re-sell that space in a timely manner.

C) Terms and conditions for EurActors

EurActor  membership is a permanent status, supporting an organisation's networking and communication in EU circles, signed initially for one year, and tacitly renewed for the next 12 months upon the anniversary date.

Renewal is done automatically on the anniversary of the signature date, unless otherwise cancelled by either party by registered mail one month prior to the anniversary (renewal) date.

If requested by the client, EurActiv offers an achievement meeting with the EurActor members (EurActors) and provides an annual report about the services provided, advertising implemented and statistics 6 weeks prior to the renewal date.

Any advertising credit unused until the renewal date is not taken into account for the new contract, except for the campaigns booked or pre-booked for a period after that date. For additional terms and conditions applying to advertising, see B) Terms and conditions for advertisers.

These terms and conditions apply to Sponsors of EurActiv.com PLC, including organisations with a corporate reputation/communication agreement.

General terms and conditions for sponsoring

Sponsorship is a form of public support by an organisation ("a sponsor") to EurActiv .com (" EurActiv "). EurActiv aims at helping efficiency and transparency of the "Community of EU Actors" through the provision of information on EU affairs, mainly online.

Sponsorship is support for:

- either the whole policy platform or

- for a more informed debate on a given section (or sub-section such as a country profile).

EurActiv is a neutral media platform for all EU actors, providing no lobbying services. As a UK Public Limited Company, EurActiv is subject to auditing requirements and to publication of its accounts. Sponsors exercise no direct influence on the editorial content nor are they meant to support this content.

EurActiv reserves the right to create other types of sponsorship, including for example country sponsorship, or content media and event partnerships.

Sponsorship is for one year or one semester (plus 20% in the latter case), for one language version (English unless stated otherwise). It is renewed automatically according to article 7. A report is sent to sponsors at least 6 weeks before the anniversary date of their sponsoring period.

EurActiv undertakes to do its best to achieve exposure for sponsors similar to that indicated in the order form or exchanged correspondence before the sponsoring starts. It reserves the right to modify these when necessary and will inform sponsors of any major changes.

EurActiv will do its best to provide appropriate visibility to the name and/or logo of the sponsor. This includes presence on the website, which shall be accessible to the public for free, and on paper publications, as well as mentions at press conferences, if any are held. Should it wish so and state it with reasonable notice, a sponsor may decline the presence of its logo on any of these media.

Sponsors' contributions are to be paid in one instalment, invoiced shortly after signature or renewal, except if agreed otherwise. Alternatively, for agreements of at least one year, two instalments can be considered:

- 50% at order confirmation or renewal

- the remaining 50 % as a second invoice in the middle of the period booked.

Agreements signed for a given period continue by tacit agreement for the following period, unless notice is given one month before the anniversary date of the initial agreement, after receipt of a report to sponsors.

Additional Terms and Conditions may apply to advertising on print and online media.

The following services and benefits apply to sponsors:

a. Visibility and section focus

Section sponsors are associated to one section, General sponsors to two sections, CrossLingual sponsors to three sections plus participating partner policy portals and CrossLingual PLUS sponsors to three sections on EurActiv.com and one localised section on all participating partner policy portals.

Sponsors enjoy a high level of permanent logo visibility:

- CrossLingualPLUS sponsors: Top-level logo with link to corporate website on homepage of all language versions of EurActiv.com and logo on the homepages of EurActiv franchise partner portals (in several languages), plus logo on all pages of 3 sections of EurActiv.com and on all pages of one localised section of all participating partner portals. The franchise partners are independent organisations for which EurActiv.com PLC takes no responsibility, neither editorially, nor for their communication.

- CrossLingual sponsors: Top-level logo with link to corporate website on homepages of all language versions of EurActiv.com and logo on the homepages of EurActiv franchise partner portals (in several languages), plus logo on all pages of 3 sections of EurActiv.com. The franchise partners are independent organisations for which EurActiv.com PLC takes no responsibility, neither editorially, nor for their communication.

- General sponsors: Logo with link to corporate website on the EurActiv.com homepage (at least English language version), plus in two policy sections.

- Section sponsors: Name with link to corporate website on the EurActiv.com homepage (at least English language version), plus logo in sponsored section.

Sponsors also have visibility in EurActiv.com newsletters (total subscribers: approximately 25 000 registered individuals), which are sent as follows: general daily and weekly newsletters, and newsletters by policy section, which are sent on a weekly, bi-weekly or monthly basis.

Sponsors are mentioned in newsletters with their name and a link to their corporate website:

- CrossLingual PLUS, CrossLingual and General sponsors: mentioned in general daily and weekly newsletters published in English as well as in newsletters of sponsored sections on EurActiv.com

- Section sponsors: mentioned in newsletters of sponsored section

Section and General sponsors have no exclusivity. CrossLingual PLUS and CrossLingual sponsors have exclusivity as sponsors of their sections versus companies focused on the same sector, if they were present before these other companies. Exclusivity means that an incumbent sponsor can veto the sponsoring on the same section by a company that is a direct competitor, defined as focusing on the same industry or service sector, narrowly defined. An incumbent sponsor has two weeks to make use of its exclusivity, after EurActiv mentions a relevant case, after which the new sponsor is assumed approved. EurActiv may also inform its current sponsor of prospective sponsors that are not direct competitors. Exclusivity does not apply to logo visibility for CrossLingual sponsors on participating policy portal partners, or to advertising or EurActor membership, also not on sponsored sections.

b. Editorial impact

By "editorial impact" we refer to the sponsor's ability to suggest - per section and per year - two topics for LinksDossiers, subject to agreement of the editorial team. These LinksDossiers topics are approved if they are relevant to EU policy debates, taking the readers' viewpoint. They are written and updated by EurActiv's team, in the same editorially independent manner as news, pointing to a variety of policy positions.

With the support of CrossLingual PLUS sponsors, EurActiv also opens localised sections on all participating partner portals, in which a significant amount of the content is translated and localised.

CrossLingualsponsors can suggest one LinksDossier per year to be translated and localised by the partner policy portals.

EurActiv also writes and publishes numerous LinksDossiers not suggested by sponsors.

c. Advertising

Sponsors receive an advertising credit which is listed below except agreed otherwise, expressed in weeks during which at least one newsletter ad and one section web button will be published on EurActiv.com:

- CrossLingual PLUS sponsors: 24 weeks on EurActiv.com and 4 weeks on participating partner portals

- CrossLingualsponsors: 24 weeks on EurActiv.com

- General sponsors: 12 weeks

- Section sponsors: 6 weeks

d. Networking and event association

Sponsors are invited to all public events of EurActiv.com, including:

- Policy workshops

- Conferences

Upon agreement with EurActiv.com, sponsors may become associated with these events. In that case, they have logo visibility on the invitations and programmes, they are publicly mentioned during the event and may have a speaking slot and input on programme and participants' list.

Sponsors may also suggest topics for EurActiv workshops, to which they would then be associated (one workshop suggestion corresponding to one LinksDossier suggestion).

e. Press releases

The name of relevant sponsors is mentioned in a background note about sponsors.

Press releases are distributed to most EU press corps, and in some cases to other selected policy makers, NGOs and federations.

f. Print publications

Sponsors are mentioned (with logo or name) in EurActiv.com print publications of general character that are widely disseminated and do not exclusively have marketing purposes (such as the print newsletter "EurActiv et Vous").

Circulation: 2.500 or more, with mailing targeting key policy makers and their advisers.

g. Modularity

Elements of the sponsorship package are modular, allowing for sponsors to easily replace one module with another, upon agreement with EurActiv. The following elements are of equal value and can be interchanged:

- 8 weeks of advertising on EurActiv.com website and newsletters.

- 3 weeks of CrossLingual advertising: Banner campaigns on up to 10 EurActiv partner portals.

- 1 LinksDossier. "Editorial impact" (subject to editorial independence): Suggestions for EU policy topics to be covered by EurActiv.com in the form of a LinksDossier.

- 1 EurActiv Stakeholder Workshop: Association with a workshop topic of interest to client (with speaker slot, thematic input and logo on programme).

- 1 Event blog on Blogactiv.eu.

Any unused credit vanishes at the end of the sponsoring period, whether it is renewed or not. Advertising credit cannot be transferred to other organisations, unless agreed otherwise. For additional terms and conditions applying to advertising, see B) Terms and conditions for advertisers.

E) Terms and Conditions for the FastActors

The FastActor services includes three EurActiv paying services with a basic free component:

a) Agenda:  the EurActiv Agenda service has become a reference tool to find and highlight events of the EU institutions and EU Actors' events in Brussels and outside. It is searchable and organized chronologically.

The EurActiv agenda creates awareness of the clients' organisation.

The featured agenda events appear, apart from on the main Agenda page, also in the section pages and the update emails.

b) EU Jobs:  The EurActiv JobSite supports relevant EU actors in their recruitment needs. EurActiv has made all reasonable efforts to ensure that all information provided through this web site is accurate at the time of inclusion.

EurActiv declines any responsibility and welcomes feedback to jobs@euractiv.com, should there be any inadvertent and occasional errors in the jobs published in the EU JobSite or re-published on its affiliates, or if any positions may not be open at the time of reading, or may on occasion be wrongly attributed.

In order to ensure the sustainability of this service, the Client:

- agrees to provide EurActiv any information necessary to enable the JobSite to provide those Services.

- must inform the contact at the EurActiv JobSite if a job has been removed from their own website before its expiry date.

- may change the job description before the expiry date for a fee.

When you register for EurActiv Jobs services you will be asked to provide some further information.

If you have asked to receive email alerts about specific jobs, the frequency with which you will receive these will depend upon the EurActiv schedule. Additionally, you will receive regular newsletters with information about developments with the EurActiv JobSite. If you have not subscribed to specific email alerts, you will still receive these regular emails but can unsubscribe at any time.

EurActiv has the right to reject any job posting which indicates an intention to discriminate on grounds of sex, race, or disability.

Jobs remain for a minimum of 30 days on the EurActiv JobSite, apart from bulk packages, which have an annual period.

c) Press Release Service:The Press Releases published through this site are intended for use by journalists and bloggers in connection with their professional activities as well as other interested EU Actors and readers. As with a printed press release, information may be used as the basis for copy to be published. Individual passages may be used for the purposes of quotation or illustration. Suitable policy positions and advocacy material may also be posted there, as long as they are re-usable by other media, subject to proper crediting of the source.

This service allows users to maximize their online distribution and visibility and be a tool for readers (clients or not) to actively participate in the gathering and aggregating of the press releases. It aims to provide, high level information on key issues to decision makers, EU professionals and the public at large and at the same time try to make it easy for journalists to pick up any press release they might have otherwise missed.

The only responsibility of the Press Release Service shall be to try reasonably to amend any factual, timing or omission error brought to its attention. The EurActiv Press Release Service reserves the right to reject copy when necessary in its judgment.

All other uses of the Press Release Service daily files, including but not limited to any electronic redistribution or database storage and retrieval - whether or not for resale -- in full, in part, in full text or in abstract, is prohibited without the express written consent of the EurActiv Press Release Service.

The Press Releases will remain on the Press Release Service site and its section pages for as long as administration sees fit. The featured press releases will appear for up to 7 days in the relevant EurActiv sections.

F) Terms and Conditions for Blogactiv

Blogactivis the blog platform dedicated to European affairs. It is managed by Blogactiv SPRL, an autonomous subsidiary of EurActiv PLC. It was launched in 2008 as a complementary service to EurActiv.com with the objective to give Europeans the opportunity to better engage online in the political debate on key European issues.

Clients may sponsor a blog or advertise on the site. Sponsorship is a permanent status, supporting an organisation's networking and communication in EU circles, signed initially for one year, and tacitly renewed for the next 12 months upon the anniversary date. Renewal is done automatically on the anniversary of the signature date, unless otherwise cancelled by either party by registered mail one month prior to the anniversary (renewal) date.
